To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms and Conditions, you and Arbor Quant agree to first attempt to negotiate any dispute informally for at least thirty days before initiating formal proceedings.
Mediation
If informal negotiation does not resolve the dispute, the parties agree to attempt mediation before a neutral mediator mutually agreed upon by both parties. The costs of mediation shall be shared equally unless otherwise agreed.
Formal Legal Action
Only after good-faith attempts at informal resolution and mediation have been exhausted may either party initiate formal legal proceedings in accordance with the jurisdiction provisions of these terms.
Force Majeure
We shall not be liable for any delay or failure to perform our obligations under these Terms and Conditions if such delay or failure arises from circumstances beyond our reasonable control, including but not limited to:
In the event of force majeure, our obligations shall be suspended for the duration of such circumstances, and we shall have an extension of time for performance equal to the period of delay.
Severability
If any provision of these Terms and Conditions is held to be unlawful, void, or for any reason unenforceable by a court of competent jurisdiction, then that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions.
